Terms of Service Summary
This summary is intended to help you quickly understand our Terms of Service. It is not a substitute for the full Terms of Service, which control if there is any difference between this summary and the full terms.
By using Scholaright:
- You must be at least 18 years old and authorized to manage any student information you submit.
- You remain responsible for reviewing and verifying educational records, transcripts, grades, attendance information, and imported data.
- Scholaright is a recordkeeping and organizational platform. We do not provide legal advice, educational accreditation, or guarantees regarding homeschool compliance, transcript acceptance, or college admissions decisions.
- You retain ownership of the content and records you upload, while granting Scholaright limited rights needed to operate the service.
- Certain features, such as Auto Import, use automated technologies that may make mistakes. You are responsible for reviewing imported information before relying on it.
- Subscription fees are generally non-refundable once charged.
- You may not misuse the service, attempt unauthorized access, or interfere with its operation.
- Scholaright provides the service "as is" and cannot guarantee uninterrupted operation or error-free results.
- Our liability is limited as described in the full Terms of Service.
- Most disputes are handled through individual arbitration, although qualifying claims may be brought in small claims court.
Welcome to Scholaright. These Terms of Service ("Terms") govern your access to and use of the Scholaright website, applications, and related services (collectively, the "Services").
The Services are provided by Scholaright L.L.C. ("Scholaright," "we," "us," or "our"), a Michigan limited liability company.
By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree to these Terms, you may not use the Services.
1. Eligibility
You must be at least 18 years old to create an account or use the Services.
By using the Services, you represent and warrant that:
- you are legally capable of entering into a binding agreement;
- you are using the Services for lawful purposes;
- any student data you upload is information you are authorized to manage or submit; and
- all information you provide is accurate and current.
Scholaright does not permit minors to independently create accounts.
2. Description of Services
Scholaright provides homeschool and educational recordkeeping tools, including features such as:
- transcript generation;
- grade and attendance tracking;
- assignment and document storage;
- automated document imports;
- reporting and exports; and
- related organizational functionality.
Scholaright is a recordkeeping and organizational platform only. The Services do not constitute legal advice, educational accreditation, academic counseling, or guarantees of legal or educational compliance.
3. User Responsibilities
You are solely responsible for:
- reviewing and verifying all records, transcripts, grades, attendance logs, and imported data;
- complying with applicable homeschool and educational laws;
- maintaining backup copies of important records;
- the legality and accuracy of uploaded content; and
- all activity occurring under your account.
Homeschool and educational requirements vary by jurisdiction and may change over time. Scholaright does not guarantee compliance with any law or regulation, acceptance by schools, colleges, universities, employers, or government agencies, or the accuracy or completeness of user-entered or automatically imported information.
4. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate registration information, promptly update account information if it changes, and notify us immediately of any suspected unauthorized access to your account.
We may suspend or terminate accounts that violate these Terms or create risk or harm to Scholaright, its users, or third parties.
5. Automated Imports and AI-Assisted Features
Certain features may use automated processing technologies, including optical character recognition (OCR) and artificial intelligence (AI) tools, to interpret uploaded files or images. These features are provided for convenience only and may contain errors, omissions, or inaccurate interpretations.
You acknowledge and agree that:
- imported or generated information must be independently reviewed by you before use;
- Scholaright does not guarantee the accuracy of automated imports;
- uploaded files may be processed by trusted third-party service providers solely for the purpose of operating requested features; and
- you should avoid uploading unnecessary sensitive information.
Scholaright is not responsible for decisions made based on automatically processed or generated data.
6. User Content and Data Ownership
You retain ownership of the content and data you upload to the Services ("User Content"). By uploading or submitting User Content, you grant Scholaright a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, and display User Content solely as necessary to operate and maintain the Services, provide requested functionality, create backups, improve reliability and performance, and comply with legal obligations.
This license ends when your User Content is permanently deleted from our systems, except where retention is reasonably necessary for backups, legal compliance, dispute resolution, fraud prevention, or technical operations.
You represent and warrant that you own or control the necessary rights to User Content, your User Content does not violate applicable law or third-party rights, and your User Content does not contain prohibited material.
Scholaright may use aggregated and anonymized usage data for analytics, reliability, security, and product improvement purposes. If you provide feedback or suggestions regarding the Services, you grant Scholaright the right to use that feedback without restriction or compensation.
7. Privacy
Your use of the Services is also governed by our Privacy Policy. Because educational records may contain sensitive information, you agree to use reasonable care when uploading files or content. Scholaright does not knowingly permit children under 13 to create accounts directly.
8. Payments and Billing
Certain features of the Services require payment of subscription fees. Payments are processed through third-party payment providers, including Stripe. Scholaright does not store complete payment card information on its own systems.
By subscribing, you authorize recurring billing for your selected subscription plan until canceled. Unless otherwise stated:
- subscriptions automatically renew;
- fees are non-refundable once charged;
- partial billing periods are not prorated; and
- applicable taxes may apply.
Scholaright may issue refunds in its sole discretion but is not obligated to do so. We may change pricing upon reasonable notice.
9. Acceptable Use
You agree not to:
- use the Services unlawfully;
- upload malicious software or harmful content;
- attempt unauthorized access to systems or accounts;
- interfere with the operation or security of the Services;
- infringe intellectual property rights;
- impersonate another person or entity; or
- use automated systems to abuse or overload the Services.
We reserve the right to investigate violations and take appropriate action, including suspension or termination of access.
10. Intellectual Property
The Services, including software, branding, designs, text, graphics, logos, and functionality, are owned by Scholaright or its licensors and are protected by applicable intellectual property laws. Except for limited rights expressly granted under these Terms, no rights are transferred to you. You may not copy, reverse engineer, modify, distribute, or create derivative works from the Services except as permitted by law.
11. Third-Party Services
The Services may rely on or interact with third-party providers, including payment processors, hosting providers, email providers, and AI processing services. Scholaright is not responsible for third-party services, third-party outages, or third-party policies or practices. Your use of third-party services may also be governed by separate terms and privacy policies.
12. Service Availability and Changes
We may modify, suspend, or discontinue any portion of the Services at any time, with or without notice. Scholaright does not guarantee uninterrupted or error-free operation. Downtime, maintenance, security incidents, or technical failures may occur.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCHOLARIGHT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY OF RESULTS.
SCHOLARIGHT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE; THAT DATA LOSS WILL NEVER OCCUR; THAT IMPORTED OR GENERATED RECORDS WILL BE ACCURATE; OR THAT THE SERVICES WILL MEET EVERY USER'S LEGAL OR EDUCATIONAL NEEDS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCHOLARIGHT AND ITS MEMBERS, MANAGERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, GOODWILL, OR EDUCATIONAL OPPORTUNITIES.
SCHOLARIGHT'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: THE AMOUNT YOU PAID TO SCHOLARIGHT IN THE TWELVE (12) MONTHS BEFORE THE CLAIM; OR ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless Scholaright and its members, managers, employees, affiliates, contractors, and service providers from and against claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, your User Content, your violation of these Terms, your violation of applicable law, or your infringement of third-party rights.
16. Dispute Resolution and Arbitration
Please contact us first if you have a dispute. Most concerns can be resolved informally. Before initiating arbitration, either party must provide written notice (including via email to support@scholaright.com) of the dispute and allow thirty (30) days for informal resolution.
Except for disputes eligible for small claims court, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration. You and Scholaright agree to waive any right to a jury trial, to waive participation in class actions or class arbitrations, and that arbitration will occur only on an individual basis.
Arbitration may be conducted remotely by video conference, telephone, or written submissions where appropriate. Arbitration shall be administered by the American Arbitration Association ("AAA"), or another mutually agreed arbitration provider if AAA is unavailable or unwilling to administer the dispute. Either party may bring qualifying claims in small claims court instead of arbitration.
Nothing in these Terms prevents either party from seeking injunctive or equitable relief for misuse of intellectual property, unauthorized system access, or violations of confidentiality obligations.
17. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.
18. Changes to These Terms
We may update these Terms from time to time. If material changes are made, we will provide reasonable notice through the Services or by other appropriate means. Your continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms.
19. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
20. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Scholaright regarding the Services.
